Hostile takeover

A hostile takeover is when the target company's management and board of directors publicly denounce the takeover bid. This forces the acquiring company to bypass the management and board of directors by purchasing their shares from other sources. Hostile takeovers are only possible in public companies.

Management and the board of directors have several options to defend against hostile takeovers, the most popular being a poison pill.
