Tax free spin-off

A tax free spin-off is when a publicly traded company splits off one of their business units to become an entirely new company. The new company will have it's own stock symbol, board of directors, management, etc. This form of spin off is tax free since it's a divestiture rather than a sale.

Typically in a tax free spin-off shareholders in the parent company will get an equivalent number of shares in the new company or by exchanging shares in the parent company for shares in the new company.
